MusiSign Terms of Service

Digital Agreements by Musifacts

These Terms of Service govern access to and use of MusiSign, the electronic signature and digital agreement platform developed and operated by Musifacts Europe BV. By creating an account, accessing the platform, sending a document or signing a document through MusiSign, you agree to these Terms.

1. Operator information

MusiSign is managed and developed by Musifacts Europe BV, located at Hughersluys 23, 4536 HM Terneuzen, The Netherlands. VAT number: NL858651592B01. Phone: +31 (115) 785010. General email: info@musifacts.com. Legal contact: info@musisign.com.

2. Definitions

MusiSign means the software platform of Musifacts Europe BV used to prepare, distribute, review, electronically sign, trace and archive documents that require electronic execution and legal traceability.

User means any company, business partner, authorised representative, employee, contractor or individual who accesses MusiSign to send, review, complete or electronically sign documents.

Organisation means the legal or business entity operating, managing or using an account within MusiSign. For Musifacts-managed workflows, the Organisation is Musifacts Europe BV, a company incorporated under the laws of the Netherlands and operating primarily in a B2B context.

Document means any file, agreement, form, annex, attachment or related material uploaded to, generated by, sent through or signed using MusiSign.

Electronic Signature means an electronic mark, drawing, typed signature, approval, signature event or other electronic process applied through MusiSign and linked to a Document together with unique identifiers, timestamps, audit events and technical evidence.

Sender means the company, organisation or authorised person that prepares or sends a Document through MusiSign and requests acknowledgement, completion, approval or signature from one or more Recipients.

Recipient means a company, representative or private person entitled or invited to review, complete, acknowledge, approve or sign the Document(s) sent through MusiSign.

Account means a registration or authorised access profile within MusiSign that allows a User to send, review, complete, manage or sign Documents.

3. Acceptance and authority

By using MusiSign, you confirm that you are authorised to act on behalf of the Organisation or person you represent. If you sign a Document on behalf of a company, you are responsible for ensuring that you have the legal authority to bind that company.

4. Description of the service

MusiSign provides tools to upload or generate Documents, define Recipients, place signature and data fields, send signature requests, record signing events, generate audit trails, apply traceability identifiers, merge and seal completed PDFs, send transactional email notifications and store completed Documents. Depending on configuration, the platform may also provide teams, organisations, templates, public API access, webhooks, direct signing links and optional billing or identity-provider integrations. The platform is intended primarily for business and professional document workflows.

5. User responsibilities

Users are responsible for:

  • the accuracy, legality and completeness of Documents uploaded or sent;
  • ensuring that Recipients are correctly identified and authorised;
  • using MusiSign only for lawful purposes;
  • protecting account credentials and access rights;
  • ensuring that they have all necessary rights to upload and process Document content;
  • maintaining appropriate internal approvals before sending or signing Documents.

6. Electronic signatures

MusiSign provides electronic signature technology. Electronic signatures may have legal effect under applicable laws, including Regulation (EU) No. 910/2014 (eIDAS) within the European Union and, where applicable, the ESIGN Act and UETA in the United States. The legal effect of a specific Document may depend on the applicable law, the nature of the Document, the authority of the signers, the type of signature used and the surrounding circumstances.

Musifacts Europe BV does not provide legal advice through MusiSign. Users should seek independent legal advice where the legal validity, enforceability or required form of a Document is important.

7. Audit trail and traceability

MusiSign may record audit evidence including timestamps, User and Recipient identifiers, IP addresses, browser and device data, document identifiers, signature identifiers, envelope identifiers, document events, completion status and integrity or verification data. Completed PDFs may include visible MusiSign envelope, document and signature identifiers, and may be sealed using a configured certificate-based PDF signing transport. Such information is intended to support traceability and evidential value of electronically signed Documents.

8. Data storage and processing

Documents, metadata, audit records and associated data are stored on internal servers located in Europe. Some operational services, such as email delivery, domain services, SSO providers, analytics, billing, object storage, webhooks, API integrations or security tools, may involve external providers when those integrations are enabled, subject to appropriate contractual, technical and legal safeguards.

9. Availability and maintenance

Musifacts Europe BV aims to keep MusiSign reliable and secure. However, the service may be unavailable due to maintenance, updates, security measures, hosting issues, force majeure events or circumstances outside the reasonable control of Musifacts Europe BV.

10. Security

Users must not attempt to bypass access controls, interfere with the platform, compromise accounts or use MusiSign to distribute malicious, unlawful or misleading content. Security incidents or suspected unauthorised access should be reported promptly to info@musisign.com.

11. Intellectual property

The MusiSign name, branding, custom interface, custom features, documentation and Musifacts business-specific customisations are owned by Musifacts Europe BV or its licensors. Users retain responsibility for and ownership of their own Documents, subject to the rights required to process them through MusiSign.

12. Open-source components

MusiSign includes software components derived from or based on open-source projects, including Documenso and other libraries. Such components remain subject to their respective open-source licences. Nothing in these Terms is intended to limit rights granted under applicable open-source licences.

13. Limitation of liability

To the maximum extent permitted by applicable law, Musifacts Europe BV is not liable for indirect damages, loss of profit, loss of business, loss of goodwill, loss of data, interruption of business or consequential damages arising from use of MusiSign. The platform is provided for professional document workflows and does not replace legal review of important agreements.

14. Indemnification

Users agree to indemnify and hold harmless Musifacts Europe BV from claims, damages, losses or expenses arising from unlawful use of MusiSign, unauthorised signing, inaccurate Recipient information, unlawful Document content or breach of these Terms.

15. Suspension and termination

Musifacts Europe BV may suspend or restrict access where necessary to protect security, comply with law, prevent misuse, investigate suspected abuse or protect the integrity of signed Documents and audit records.

16. Changes to these Terms

Musifacts Europe BV may update these Terms from time to time. Updated versions will be identified by version number, effective date and last updated date. Continued use of MusiSign after an updated version becomes effective constitutes acceptance of the updated Terms.

17. Governing law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any dispute arising out of or relating to these Terms or use of MusiSign shall be submitted to the competent courts of the Netherlands, unless mandatory law provides otherwise.
